AGREEMENT
The parties involved in this contract (The Agreement) are ______________ (The Company) and IL. Drosman Translation Services, represented by Lea Caroline Drosman (The Contractor).
The terms and conditions of this Agreement are the following:
1. The Contractor cited above is to be considered an Independent Contractor and in no sense is he or she to be considered an employee of The Company.
2. The Contractor will perform one or more of the following tasks: proofreading, editing and translation. The exact nature of the tasks to be performed is described in the attached work statement (Exhibit A to this agreement), which also includes details of compensation, as well as other details which generally or specifically relate to the task involved.
3. By agreeing to this contract (The Agreement) and its terms, no other obligations for additional tasks to be performed are implied, assumed, or intended by either The Company or The Contractor.
4. The material to be proofread, edited, or translated will be in the form of documents or manuscripts submitted to The Company by outside clients. Such documents and manuscripts are to be considered highly confidential and The Contractor hereby agrees that the documents and manuscripts, and the information contained therein, will be neither retained by The Contractor, nor revealed or disbursed in any manner to outside third parties.
5. The Contractor also recognizes the need for strict confidentiality regarding The Company’s details of operation and, hereby agrees neither to retain information or documents relative to The Company’s business operations nor to reveal or disclose such information or documents in any manner to outside third parties.
6. The Contractor agrees not to solicit additional proofreading, editing or translating tasks directly from the client whose documents and manuscripts are the subject of this Agreement during the term of this contract or for a period of one (1) year after its termination.
7. The Contractor further agrees not to solicit or induce any employee of The Company to leave the company during the term of this Agreement and for a period of one (1) year after its termination.
8. The Contractor agrees to assume personal liability, and hold The Company harmless, for any and all injuries to any and all persons as a result of The Contractor’s actions, omissions, or negligence. The assumption of this liability by The Contractor is intended to include any costs and attorney’s fees involved in the judicial settlement of such losses and injuries.
9. This Agreement may be terminated for cause (a material breach of The Agreement) by The Company or The Contractor upon thirty (30) days written notice to the other party.
10. The Agreement may also be terminated by The Company for any reason, at its sole discretion, upon thirty (30) days written notice to The Contractor.
11. The Company and The Contractor further agree that any disputes arising under the terms of this Agreement will be settled using the English language, regardless of whether that settlement is reached by negotiation, arbitration or through judicial resolution.
12. In the event of a contractual dispute under the terms of this Agreement between The Company and The Contractor, any such dispute, if not settled through compromise or arbitration, shall be resolved under the laws France, as administered by the French courts.
13. France shall have sole jurisdiction for the judicial resolution of any disputes cited in paragraph 12.
EXHIBIT A – WORK STATEMENT
A. The Contractor shall perform the following tasks:
Translating Editing and Proofreading
From English, German, Hebrew to French
B The Company shall pay The Contractor the following rate:
€ 0.05 per word for technical translations under 10 pages and € 0.04 per word for literary and general translations under 10 pages
C. The Company shall reimburse The Contractor for the following expenses and materials:

D. In case of cancellation of work from the Company, the Contractor should be paid regarding to the work done.
E. The Contractor shall present an invoice to The Company which must include: name, address, designation of task, word count and type of service performed. Invoices will be sent immediately by mail, when receiving work, and original by courier. Invoices should be paid 1st of the month, by check or wire transfer.
F. In case of delay of payment from the company, a rate increase of 10 % will be applied on the delayed payments.
G. The Company facilities and work areas which The Contractor may access are the following:
The Company website, documents, vocable from the client, and other areas to be determined and specified.
The parties to the foregoing contract (The Agreement) hereby agree and assent and, by their signatures below, evidence assent to The Agreement and all it’s terms and conditions and legally bind themselves thereto.
